This document is a standard product template for implementation and testing. It should be reviewed by qualified legal counsel before public launch.
1. Acceptance of Terms
By accessing or using GPT Image 2 (the "Service"), you agree to these Terms of Service and any policies referenced here. If you do not agree, do not use the Service.
2. Eligibility and Accounts
- You must be legally able to enter into a binding agreement.
- You are responsible for maintaining the security of your account and login credentials.
- You are responsible for activity that occurs under your account unless caused by our own security failure.
3. Description of the Service
GPT Image 2 provides tools for generating, editing, and managing AI-assisted image content, including outputs created from prompts, uploaded assets, and other input materials.
We may add, remove, or modify features at any time as the product evolves.
4. Acceptable Use
You agree not to:
- upload or generate unlawful, infringing, abusive, deceptive, or harmful content;
- attempt to reverse engineer, disrupt, overload, or bypass security or usage controls;
- use the Service to violate privacy, intellectual property, publicity, or data protection rights;
- resell or misuse access to the Service without written permission.
We may suspend or terminate access if we reasonably believe your use violates these Terms, applicable law, or the safety of the Service.
5. User Content
You retain ownership of the prompts, uploaded materials, and other content you submit to the Service ("User Content"), subject to any rights needed for us and our subprocessors to operate the Service.
You represent that you have the necessary rights, permissions, and lawful basis to submit and process User Content.
6. Generated Output
Subject to applicable law and third-party provider terms, you may use generated outputs for your internal or commercial purposes.
Because AI systems are probabilistic:
- outputs may be similar to content generated for other users;
- outputs may contain inaccuracies, undesired artifacts, or third-party-like elements;
- you are responsible for reviewing outputs before publishing, distributing, or relying on them.
7. Billing, Credits, and Subscriptions
- Some features require paid credits or subscription plans.
- Pricing, credit amounts, expiration rules, and billing periods are described in the product experience at the time of purchase.
- Unless stated otherwise, fees are non-refundable except where required by law.
- We may update pricing or plan structure prospectively.
8. Third-Party Providers
The Service may rely on third-party infrastructure, identity providers, payment processors, model providers, storage vendors, and analytics tools.
We are not responsible for outages or failures caused solely by third-party providers, though we will use commercially reasonable efforts to maintain service continuity.
9. Intellectual Property
The Service, excluding User Content and generated outputs you are permitted to use, is owned by us or our licensors and protected by intellectual property laws.
You may not copy, distribute, modify, or create derivative works from the Service except as expressly permitted by law or by us in writing.
10. Availability and Changes
We do not guarantee uninterrupted or error-free operation. We may suspend, limit, or discontinue all or part of the Service for maintenance, security, legal compliance, or product changes.
11. Termination
You may stop using the Service at any time.
We may suspend or terminate your access if:
- you breach these Terms;
- we are required to do so by law;
- your use creates legal, operational, or security risk;
- we discontinue the Service.
Upon termination, your right to use the Service ends immediately, but provisions that reasonably should survive will remain in effect.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
13. Limitation of Liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages;
- our total liability for claims arising out of or relating to the Service will not exceed the amount you paid us for the Service during the 12 months before the claim arose.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnity
You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, and expenses arising from:
- your User Content;
- your use of the Service;
- your violation of these Terms or applicable law.
15. Governing Law
These Terms are governed by the laws specified in your production legal review and commercial setup. Before launch, replace this placeholder with the correct governing law and dispute resolution clause for your business.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Service or by other reasonable means. Continued use after changes become effective means you accept the updated Terms.
